Welcome to Carbon Copy Markets, Inc. These Terms of Service ("Terms") govern your access to and use of the Carbon Copy Markets platform, website, and related services (collectively, the "Service") operated by Carbon Copy Markets, Inc. ("Company," "we," "us," or "our").
BY ACCESSING OR USING OUR SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, you must not access or use our Service.
1. Service Description
Carbon Copy Markets, Inc. provides a software interface that enables users to automatically replicate the trading activity of selected traders on Polymarket, a prediction market platform. Our Service includes:
- Copy Trading Functionality: Tools that allow you to follow and automatically mirror trades executed by other users ("Traders") on Polymarket according to settings you configure.
- Embedded Wallet Management: Proxy cryptocurrency wallets created and managed on your behalf through our wallet provider (Privy) to facilitate trading on the Polygon blockchain network.
- Portfolio Management: Tools to view, manage, and control your copy trading positions, allocations, and performance metrics.
- Market and Analytics Information: Access to market data, trader performance analytics, and historical trading activity from Polymarket and related sources.
No Investment Advisory Services: Carbon Copy Markets, Inc. does not provide investment advice, portfolio management, or discretionary trading services. We provide software tools that allow you to automatically replicate trades according to settings you configure. All investment decisions remain entirely under your control.
Important: Carbon Copy Markets, Inc. is a separate service from Polymarket. We do not operate, control, or endorse Polymarket; we provide an interface to trade on Polymarket's prediction markets via their public API and smart contracts. We are not responsible for Polymarket's operation, market resolution decisions, oracle determinations, or any changes to Polymarket's platform or policies.
2. Eligibility and Legal Compliance
To use our Service, you must:
- Be at least 18 years of age.
- Have the legal capacity to enter into a binding agreement in your jurisdiction.
- Not be a resident of, or located in, any jurisdiction where prediction market trading, cryptocurrency transactions, or related financial services are prohibited by law.
- Not be subject to any economic sanctions, trade restrictions, or government restrictions that would prohibit you from using the Service or engaging in cryptocurrency transactions.
- Comply with all applicable laws, regulations, and rules in your jurisdiction.
You are solely and entirely responsible for determining whether your use of our Service, including copy trading on prediction markets, is legal in your jurisdiction. Prediction markets may be treated as gaming, derivatives, or other regulated financial products in different jurisdictions. If you are unsure, you should consult with a qualified legal professional in your area.
By using the Service, you represent and warrant that you meet all eligibility criteria above.
3. Account Registration and Security
To access certain features of our Service, you must create an account through our authentication provider, Privy. By creating an account, you agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security and confidentiality of your account credentials and authentication methods.
- Immediately notify us of any unauthorized access, use, or suspected compromise of your account.
- Accept full responsibility for all activities that occur under your account, whether authorized by you or not.
3.1 Embedded Wallet and Custody Model
Upon registration, Privy creates an embedded cryptocurrency wallet (your "Proxy Wallet") on your behalf. You understand and agree that:
- Custody and Control: You retain control over your Proxy Wallet through your authentication with Privy. Privy holds the private keys for your Proxy Wallet; we do not have access to, custody of, or control over your private keys, recovery phrases, or backup keys.
- Non-Custodial Nature: While Carbon Copy Markets cannot directly access your private keys, our Service has authorization to initiate trades and execute transactions from your Proxy Wallet according to your copy trading settings and instructions. This creates an operational arrangement where transactions flow through our systems.
- Irreversibility: All on-chain transactions executed through your Proxy Wallet are irreversible and permanently recorded on the Polygon blockchain. We cannot undo, reverse, cancel, or modify transactions once they have been confirmed on-chain. If an error or fraud occurs, recovery depends entirely on the goodwill and policies of third parties (e.g., Polymarket, Polygon validators) and is not guaranteed.
- Your Funds: You are solely responsible for all funds deposited into or held in your Proxy Wallet. We have no obligation to insure, protect, or guarantee the availability of your funds.
- No FDIC, SIPC, or Insurance: Your funds are not insured by the Federal Deposit Insurance Corporation (FDIC), Securities Investor Protection Corporation (SIPC), or any government fund. They are not covered by any insurance policy maintained by Carbon Copy Markets unless explicitly stated otherwise in separate documentation.
- Service Termination: Upon account termination or Service discontinuation, you will have a reasonable period (no less than 30 days, unless required by law to be shorter) to withdraw all funds from your Proxy Wallet. Instructions will be provided in your account or via email. You remain responsible for withdrawing your funds; failure to do so may result in permanent loss of access to those funds.
4. Financial Risk Disclaimer and Assumption of Risk
THIS SECTION CONTAINS CRITICAL INFORMATION ABOUT FINANCIAL RISK. PLEASE READ CAREFULLY AND THOROUGHLY.
4.1 Risk of Substantial Financial Loss
COPY TRADING AND PREDICTION MARKET PARTICIPATION INVOLVE SUBSTANTIAL RISK OF TOTAL LOSS. YOU COULD LOSE SOME OR ALL OF THE FUNDS YOU ALLOCATE TO COPY TRADING. PAST PERFORMANCE OF ANY TRADER DOES NOT GUARANTEE, PREDICT, OR INDICATE FUTURE RESULTS. YOU SHOULD NEVER INVEST MORE THAN YOU CAN AFFORD TO LOSE COMPLETELY.
Prediction markets are volatile, and market prices can move rapidly and unpredictably. Traders you follow may experience losses, poor performance, or may cease trading entirely.
4.2 No Investment Advice or Recommendations
WE DO NOT PROVIDE FINANCIAL, INVESTMENT, LEGAL, OR TAX ADVICE OF ANY KIND. The information, data, analytics, and content provided through our Service (including trader performance metrics, market data, and historical information) are for informational purposes only and should not be construed or relied upon as advice of any kind.
- You should never rely on Carbon Copy Markets' Service, any trader's performance, or any information displayed on our platform to make financial, investment, or trading decisions.
- You should consult with qualified financial advisors, tax professionals, and legal counsel before making any trading or investment decisions.
- All investment decisions are your own responsibility, and you assume all associated risks and consequences.
4.3 No Guarantee of Performance
We make no representations, warranties, or guarantees regarding:
- The accuracy, reliability, or completeness of any Trader's historical performance data or metrics displayed on our platform.
- The future performance, profitability, or trading success of any Trader you choose to follow.
- The likelihood that any Trader will continue trading, maintain performance levels, or execute trades in any particular manner.
- The profitability or success of any trades executed through our Service or copy trading.
- The accuracy, timeliness, or completeness of market data, prices, or predictions displayed on our platform.
- The resolution, settlement, or oracle determinations made by Polymarket or any other third-party prediction market.
4.4 Cryptocurrency and Blockchain Risks
You acknowledge and fully assume all risks associated with cryptocurrency and blockchain technology, including:
- Volatility: Cryptocurrency values fluctuate dramatically and unpredictably.
- Network Risk: Blockchain networks (including Polygon) may experience congestion, delays, forks, reorganizations, or outages that prevent transactions from being processed.
- Smart Contract Risk: Smart contracts may contain bugs, vulnerabilities, or code exploits that could result in loss of funds, unintended transactions, or service disruption.
- Oracle Risk: Polymarket and other prediction markets rely on oracle services to determine market outcomes. Oracles may fail, report incorrect data, be compromised, or be subject to manipulation, leading to incorrect market resolutions.
- Regulatory Risk: Cryptocurrency, prediction markets, and copy trading services may be regulated, restricted, or banned in various jurisdictions at any time. Regulatory actions could result in service termination, restrictions on trading, forced position closures, or seizure of funds.
- Counterparty Risk: Transactions depend on the continued operation and reliability of Polymarket, Polygon, Privy, and our other service providers. These services could shut down, be hacked, fail, or otherwise become unavailable.
- Loss of Access: Technical errors, security breaches, or service failures could result in permanent loss of access to your Proxy Wallet, account, or funds.
4.5 Third-Party Platform Dependencies
Our Service depends on Polymarket and the Polygon blockchain network. We are not responsible for:
- The availability, accuracy, performance, or reliability of Polymarket or Polygon.
- Market resolution decisions, settlement determinations, or oracle results made by Polymarket or its oracle providers.
- Changes to, outages of, or discontinuation of these platforms, which may immediately affect or terminate your ability to trade.
- Any losses, delays, or failed transactions resulting from platform failures, shutdowns, or errors.
- Any security breaches, hacks, or exploits affecting these platforms or your accounts on those platforms.
5. Copy Trading Terms and Conditions
5.1 How Copy Trading Works
When you choose to copy a Trader, our system will attempt to automatically execute trades in your Proxy Wallet that replicate the Trader's positions and orders on Polymarket. Your copy trading is subject to:
- Your configured allocation limits, risk parameters, and trading settings.
- Available funds in your Proxy Wallet at the time a trade is initiated.
- Current market liquidity, order book depth, and market conditions on Polymarket.
- Technical capacity and stability of our systems and third-party infrastructure.
- Network throughput, transaction fees (gas), and blockchain confirmation times on Polygon.
We do not guarantee that your account will replicate a Trader's positions exactly or at all.
5.2 Execution, Timing, and Slippage
You understand and accept that:
- Execution Delays: There may be significant delays (ranging from seconds to minutes or longer) between when a Trader executes a trade and when that trade is replicated in your account. During this delay, market conditions may change materially.
- Slippage: Your execution price may differ—often materially and negatively—from the Trader's execution price due to market movements, bid-ask spreads, liquidity constraints, or network delays.
- Partial Fills and Failed Orders: Trades may fail to execute, be partially filled, or execute at different prices or quantities than intended due to liquidity constraints, network issues, or system errors.
- Non-Replication: We cannot guarantee that all trades will be successfully replicated, that positions will be held at the same time as the Trader's positions, or that your performance will approximate the Trader's performance.
- Execution Divergence: Due to timing differences, partial fills, and market conditions, your account's holdings may diverge significantly from the Trader's holdings, potentially resulting in substantially worse performance.
5.3 Your Sole Responsibility for Copy Trading Decisions
As a user of our copy trading Service, you are entirely and solely responsible for:
- Trader Selection: Selecting which Traders to follow. We do not recommend, endorse, or vouch for any Trader. Your choice of Traders is based entirely on your own due diligence and research.
- Risk Management: Setting appropriate allocation limits, position sizes, and risk parameters for your account.
- Monitoring: Actively monitoring your positions, performance, and Traders' activity, and adjusting your settings as needed.
- Funding: Ensuring sufficient funds are available in your Proxy Wallet to support copy trades and cover potential losses.
- Market Understanding: Understanding the prediction markets, assets, and trading mechanics involved in your copy trading activity.
- Consequences: Accepting full and complete responsibility for all consequences of your copy trading decisions, including total loss of funds.
6. Force Majeure
Carbon Copy Markets shall not be liable for any failure or delay in performance of its obligations under these Terms, and we shall not be considered in breach of these Terms, if performance is prevented, hindered, or delayed by any cause beyond our reasonable control, including but not limited to:
- Blockchain and Network Events: Blockchain network congestion, outages, forks, reorganizations, rollbacks, or technical failures affecting Polygon or related networks.
- Smart Contract Failures: Smart contract vulnerabilities, exploits, bugs, reentrancy attacks, or other technical failures affecting our Service or integrated platforms.
- Third-Party Outages: Outages, downtime, unavailability, or failure of Polymarket, Privy, or other third-party service providers or infrastructure.
- Oracle and Resolution Events: Oracle failures, oracle manipulation, incorrect data feeds, or market resolution disputes on Polymarket.
- Regulatory Actions: Orders from regulatory agencies, court orders, injunctions, sanctions, or other legal requirements that prevent or restrict our ability to provide the Service.
- Internet and Infrastructure: Internet outages, DNS failures, power outages, hosting provider failures, or other backbone infrastructure failures.
- Security Events: Distributed denial-of-service (DDoS) attacks, hacking attempts, security breaches, or other cybersecurity incidents.
- Events Beyond Control: Natural disasters, pandemics, wars, terrorism, civil unrest, or other events reasonably beyond our control.
In the event of any force majeure occurrence, we will make commercially reasonable efforts to notify users and resume normal operations. We shall have no liability for any damages, losses, or consequential effects resulting from force majeure events.
7. Regulatory Compliance and Modifications
7.1 Right to Modify Service for Compliance
We reserve the right to modify, suspend, or terminate the Service, restrict trading in certain markets, or change our features at any time to comply with applicable laws, regulations, or directives from regulatory agencies or courts. We are not liable for any losses, damages, or inconvenience resulting from such modifications or suspensions.
7.2 Geographic Restrictions
We may, at our sole discretion and without notice:
- Block access to the Service from specific jurisdictions or IP ranges.
- Restrict trading in specific markets based on regulatory guidance.
- Require additional verification or compliance documentation from users in certain regions.
- Terminate service to users in jurisdictions where we determine the Service is prohibited or where we cannot comply with local law.
8. Anti-Money Laundering, Know-Your-Customer, and Sanctions Compliance
8.1 KYC and Identity Verification
We reserve the right to require you to:
- Provide identity verification information (legal name, address, date of birth, government ID).
- Provide additional documentation to verify the source of your funds.
- Complete identity verification processes (KYC), including potential third-party verification services.
- Update your information periodically to maintain compliance.
Failure to provide required information may result in account suspension or termination.
8.2 Account Monitoring and Restrictions
We reserve the right to:
- Monitor your account activity for suspicious patterns, including rapid funding, unusual trading activity, or activity inconsistent with your profile.
- Block, freeze, or suspend your account if we reasonably suspect illegal activity, money laundering, sanctions evasion, or other violations.
- Report your account activity to government authorities, financial regulators, or law enforcement if required by law or if we reasonably believe violations have occurred.
- Decline to process transactions or close your account at any time for compliance reasons.
8.3 Sanctions Restrictions
Use of the Service is prohibited if you:
- Are located in, or are a resident or citizen of, any country subject to comprehensive U.S. sanctions (including Iran, North Korea, Syria, Crimea, or any successor sanctions regime).
- Appear on any U.S. government sanctions list, including the Office of Foreign Assets Control (OFAC) Specially Designated Nationals (SDN) list or other similar lists.
- Are subject to any other government sanctions or trade restrictions that would prohibit your participation in cryptocurrency or financial services.
9. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws, regulations, or rules.
- Engage in market manipulation, wash trading, spoofing, layering, or any fraudulent trading activity.
- Use automated systems, bots, scripts, or other tools to access or interact with the Service without our prior express written permission.
- Interfere with, disrupt, or attempt to damage the integrity, performance, or security of the Service or related systems.
- Attempt to gain unauthorized access to any part of the Service, our systems, or the accounts or data of other users.
- Create multiple accounts to circumvent restrictions, hide activity, or evade compliance measures.
- Impersonate any person or entity or misrepresent your identity, affiliation, or authority.
- Use the Service to facilitate money laundering, sanctions evasion, terrorist financing, or other illegal financial activities.
- Violate the intellectual property, privacy, or other rights of Carbon Copy Markets, Polymarket, or any third party.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code or algorithms of the Service.
- Harass, threaten, defame, or abuse other users, Traders, or our staff.
- Spread disinformation or manipulate markets through false information campaigns.
10. Fees and Payments
Our Service includes various fees:
- Platform Fees: Currently, Carbon Copy Markets, Inc. does not charge platform fees for copy trading. We reserve the right to introduce fees in the future with at least 30 days' notice.
- Network Fees (Gas): You are responsible for Polygon network transaction fees (gas) required to execute trades. These fees are paid directly to Polygon validators and vary based on network congestion.
- Third-Party Fees: Fees charged by Polymarket for trading, market creation, or other services.
All applicable fees will be clearly disclosed to you before any transaction is executed. Fees are generally non-refundable. We reserve the right to modify our fee structure at any time with reasonable notice (at least 14 days).
11. Intellectual Property
All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio, video, data compilations, software, code, algorithms, and documentation, are the exclusive property of Carbon Copy Markets or our licensors and are protected by copyright, trademark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use in accordance with these Terms. You may not:
- Copy, modify, or create derivative works from the Service.
- Sublicense, sell, rent, or lease the Service or any portion thereof.
- Use the Service for commercial purposes or in competition with Carbon Copy Markets.
User Content and Trader Data: To the extent the Service displays content about Traders, performance metrics, or trading activity, such information is provided for informational purposes. We reserve the right to analyze, aggregate, and publish anonymized performance data or market insights derived from our users' trading activity.
12. Privacy and Data Protection
Your use of the Service is governed by our Privacy Policy, which is incorporated by reference into these Terms and describes how we collect, use, store, and share your information. By using the Service, you consent to our collection and use of data as outlined in the Privacy Policy.
13. Disclaimers and "As-Is" Service
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES, CONDITIONS, OR GUARANTEES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR VIRUS-FREE.
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS, OR CURRENTNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.
- WARRANTIES THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF HARMFUL COMPONENTS, MALWARE, OR EXPLOITS.
- WARRANTIES REGARDING THE PERFORMANCE, PROFITABILITY, OR RESULTS OF COPY TRADING OR ANY TRADING ACTIVITY.
You use the Service entirely at your own risk.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CARBON COPY MARKETS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, ADVISORS, OR AFFILIATES BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES.
- DAMAGES RESULTING FROM YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SERVICE.
- DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OUR SYSTEMS OR THEFT OF YOUR PERSONAL INFORMATION.
- DAMAGES RESULTING FROM INTERRUPTION, SUSPENSION, OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE.
- DAMAGES RESULTING FROM BUGS, VIRUSES, MALWARE, WORMS, OR OTHER HARMFUL CODE TRANSMITTED THROUGH THE SERVICE.
- DAMAGES RESULTING FROM ERRORS, OMISSIONS, OR INACCURACIES IN ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE.
- ANY FINANCIAL LOSSES, TRADING LOSSES, OR INVESTMENT LOSSES INCURRED THROUGH COPY TRADING, PREDICTION MARKET PARTICIPATION, OR USE OF THE SERVICE.
- LOSSES RESULTING FROM THIRD-PARTY PLATFORM FAILURES, BLOCKCHAIN OUTAGES, SMART CONTRACT BUGS, ORACLE FAILURES, OR REGULATORY ACTIONS.
- LOSSES RESULTING FROM YOUR SELECTION OF TRADERS, ALLOCATION DECISIONS, OR TRADING ACTIVITY.
MAXIMUM AGGREGATE LIABILITY: In no event shall our total cumulative liability to you for all claims, actions, suits, or causes of action (whether in contract, tort, strict liability, or any other legal theory) exceed the greater of (a) the total amount you paid to Carbon Copy Markets for access to the Service in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100 USD).
These limitations and exclusions apply even if we have been advised of the possibility of such damages and even if the above limited remedies fail in their essential purpose.
Some jurisdictions do not permit the exclusion or limitation of certain damages. To the extent any of these limitations are unenforceable in your jurisdiction, the maximum liability permitted by law shall apply.
15. Indemnification
You agree to indemnify, defend (with counsel acceptable to us), and hold harmless Carbon Copy Markets and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your access to or use of the Service.
- Your violation of these Terms or any applicable law.
- Your violation of any third-party rights or intellectual property.
- Your copy trading decisions, trader selections, and resulting financial outcomes.
- Any content, information, or data you provide through the Service.
- Your account activity or the account activity of anyone using your account with your permission.
16. Modifications to Terms
We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will:
- Notify you by posting the updated Terms on our website.
- Update the "Last Updated" date at the top of these Terms.
- In some cases, provide email notice or request affirmative consent to material changes.
Your continued use of the Service after such changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms regularly to stay informed of any updates.
17. Termination and Account Closure
17.1 Termination by Carbon Copy Markets
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if:
- We reasonably believe you have violated these Terms.
- We are required to do so by law, regulation, or court order.
- We determine that your activity poses a risk to our platform, other users, or our legal compliance.
- We determine that you are in a prohibited jurisdiction or subject to sanctions.
- We discontinue the Service or certain features.
17.2 Effect of Termination
Upon termination of your account:
- All copy trading activities will be immediately stopped. No further trades will be executed on your behalf.
- You remain responsible for monitoring any open positions and managing them at your discretion.
- Your Proxy Wallet and any funds within it remain accessible to you for withdrawal (subject to any legal holds or regulatory restrictions).
- You have a minimum of 30 days from the date of termination notice to withdraw all remaining funds from your Proxy Wallet. Instructions will be provided via email or in your account dashboard.
- After the 30-day withdrawal period expires, we may take steps to secure the Proxy Wallet or restrict access, and you may permanently lose access to any remaining funds.
- We may retain your data as required by law or for legitimate business purposes, including dispute resolution and regulatory compliance.
17.3 Termination by You
You may terminate your account and cease using the Service at any time by:
- Logging into your account and selecting the account deletion option (if available), or
- Contacting us at bence@carboncopy.inc with a clear statement that you wish to terminate your account.
Upon your termination:
- Copy trading will cease.
- Your Proxy Wallet will remain under your control through Privy.
- You are responsible for withdrawing all funds from your Proxy Wallet.
17.4 Survival
All provisions of these Terms that by their nature are intended to survive termination shall survive, including indemnification, limitation of liability, disclaimers, governing law, and arbitration provisions.
18. Dispute Resolution and Arbitration
18.1 Arbitration Agreement
YOU AND CARBON COPY MARKETS AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, THE PRIVACY POLICY, OR YOUR USE OF THE SERVICE SHALL BE RESOLVED THROUGH BINDING ARBITRATION, NOT IN COURT.
This includes all disputes whether based on contract, tort, strict liability, fraud, misrepresentation, statute, regulation, common law, or any other legal theory.
18.2 Arbitration Rules and Process
Any arbitration shall be conducted in accordance with:
- The rules of the American Arbitration Association (AAA), or if the AAA declines, the JAMS Comprehensive Arbitration Rules & Procedures.
- A single neutral arbitrator.
- The arbitration shall take place in Wilmington, Delaware, United States (or remotely if agreed by the parties).
- The arbitration shall be conducted in English.
- Each party bears its own attorneys' fees and costs; arbitrator fees and administrative costs are split equally unless the arbitrator awards fees to the prevailing party.
18.3 Class Action Waiver
YOU AGREE THAT ANY ARBITRATION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
You waive any right to participate in class arbitration or class litigation against Carbon Copy Markets. If this class action waiver is found unenforceable, the entire arbitration agreement is void.
18.4 Exceptions to Arbitration
Notwithstanding the above, the following disputes may be brought in court (not arbitration):
- Claims for emergency injunctive relief to prevent irreparable harm (e.g., to prevent unauthorized access to accounts).
- Claims by Carbon Copy Markets for breach of confidentiality or intellectual property infringement.
- Claims in small claims court if within that court's jurisdiction and not removed to arbitration.
18.5 Judgment
Judgment on the arbitration award may be entered and enforced in any court of competent jurisdiction.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. You agree that Delaware law shall apply regardless of your location or the location of the Company.
20. Severability
If any provision of these Terms is found to be unenforceable, invalid, or void by a court or arbitrator, that provision shall be limited or severed to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. The parties' intent is to enforce these Terms to the maximum extent permitted by law.
21. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Carbon Copy Markets concerning the Service. These Terms supersede all prior agreements, understandings, proposals, and negotiations, whether written or oral.
If there is any conflict between these Terms and the Privacy Policy, the more protective provision for user privacy or the provision that imposes greater liability on Carbon Copy Markets shall control.
22. Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. A waiver must be in writing and signed by both parties to be valid.
23. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Any attempted assignment is void. Carbon Copy Markets may assign these Terms or our rights hereunder to any successor, affiliated company, or party without notice or your consent.
